Agreement to Official Rules. Participation in the “Take 5 Discount Dashboard Sweepstakes” (the “Sweepstakes”) constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor (as defined below), which are final and binding. The Sweepstakes is sponsored by Driven Brands Inc. d/b/a Take 5 Oil Change, 440 S Church St #700, Charlotte, NC 28202 (“Sponsor”).Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein. This Sweepstakes is not sponsored, endorsed, or administered by Facebook or Instagram, and Facebook and Instagram is not associated with the Sweepstakes in any way. Any questions, comments, or complaints regarding the Sweepstakes must be directed to Sponsor, and not to Facebook or Instagram. You are providing your information to Sponsor and not to Facebook or Instagram.

Eligibility. The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years old at the time of entry. Directors, officers, employees of Sponsor, and each of their respective parent companies, affiliate companies, subsidiaries, agents, advertising, prize fulfillment, marketing and promotion agencies and anyone else involved in the development or execution of the Sweepstakes, as well as their immediate family members (spouse, parents, siblings, and children and their respective spouses, regardless of where they live) and household members of each such director, officer, or employee, whether or not related, are not eligible to participate in the Sweepstakes. All federal, state and local laws, rules and regulations apply. Void where prohibited by law.

Sweepstakes Period. The Sweepstakes begins at 12:00:01 AM Eastern Standard Time (“ET”) on April 18, 2024 and ends at 11:59:59 PM ET on May 17, 2024 (the “Sweepstakes Period”). Sponsor’s server and computer clock is the official time-keeping device for this Sweepstakes. Entries that are submitted before or after the Sweepstakes Period will be disqualified.

How to Enter; Limit of Entries. To enter and play the Sweepstakes, during the Sweepstakes Period, [click on a Sponsor Sweepstakes digital advertisement, which will be targeted to users ages 25-54 via Meta (Facebook and Instagram) and websites including travel, entertainment, sports, lifestyle, finance, and more. Once on the campaign landing page, users can watch the wheel spin and claim the discount they are awarded via the barcode at the bottom of the page. Play the Instant Win Game online by clicking the online ad to reveal what the entrant has won. Entrants will be notified immediately what discount they are awarded.

All coupon offers expire June 30, 2024. All coupon offers non-transferable and no cash redemption or prize substitution allowed, except at Sponsor’s sole discretion or as provided herein. Sponsor reserves the right to substitute a coupon offer for comparable or greater value, at its sole discretion. Winners are responsible for all federal, state and local taxes as well as any costs and expenses associated with the acceptance and use of any prizes not specified herein as being awarded or included as part of the prize. All prize details are at Sponsor’s sole discretion.

All validly redeemed coupon offers will be awarded, subject to Instant Win Game prize approval and verification of eligibility and compliance with the terms of these Official Rules. Any unclaimed coupon offers will not be awarded, and will remain property of Sponsor, and will not be re-awarded.

No more than the advertised maximum number of coupon offers as listed above will be awarded for any reason. If due to printing, production, programming, seeding, typographical, human or other errors of any kind, the number of valid coupon offers distributed or received at any level exceeds the number of coupon offers advertised or intended to be distributed as stated herein, then Sponsor reserves the right to conduct and award the stated number of coupon offers for such level in a random drawing from among all valid, non-suspect prize claims received for that coupon offer level. Any additional prize claims received after a prize has been exhausted for any particular prize level will be void.

How to Redeem a Coupon Offer. All Instant Win Game coupon offers may be redeemed at participating Sponsor locations. All Instant Win Game coupon offers are subject to verification and approval by Sponsor franchisee location manager. All valid Instant Win Game coupon offers must be redeemed by June 30, 2024 or coupon offer will be void. Maximum of one (1) redemption per person per visit, and offer may not be transferred or combined with any other offer or discount. Certain other restrictions may apply.

General Conditions. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Sweepstakes and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes, including any attempt to submit a fraudulent or altered, tampered with or manipulated game piece, may be a crime subject to civil and criminal prosecution may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right to prosecute any contestant submitting such game pieces to the fullest extent of the law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

Release and Limitations of Liability. By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, Instagram, Facebook, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, or in any Sweepstakes-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Sweepstakes or acceptance, receipt or misuse of any coupon offer (including any travel or activity related thereto).

Miscellaneous. The decisions of Sponsor are final with respect to all aspects of this Sweepstakes. The Sweepstakes and these Official Rules will be governed, construed, and interpreted under the laws of the State of North Carolina, without regard to choice of law principles. Except where prohibited, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for Western District of North Carolina or the appropriate North Carolina State Court located in Charlotte, North Carolina; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. For purposes of these Official Rules, (i) the words “include,” “includes” and “including” shall be deemed to be followed by the words “without limitation”; (ii) the word “or” is not exclusive; and (iii) the words “herein,” “hereof,” “hereby,” “hereto,” and “hereunder” refer to these Official Rules as a whole. In the event of any conflict with any Sweepstakes details contained in these Official Rules, and Sweepstakes details contained in any promotional materials (including, but not limited to, point of sale, television and print advertising, promotional packaging and other promotional media), the details of the Sweepstakes as set forth in these Official Rules shall prevail. If, for any reason whatsoever, the Sweepstakes, in Sponsor’s sole opinion, is not capable of running as planned, including, but not limited to, by reason of tampering, fraud, or any other cause which, in the Sponsor’s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of the Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Sweepstakes, limit entries to those submitted prior to the action taken, and conduct a random drawing from those eligible entries for which only the advertised number of prizes will be selected.
