Official Rules for Take 5 Golden Giveaway Sweepstakes

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. ALL FEDERAL, STATE, LOCAL, AND MUNICIPAL LAWS AND REGULATIONS APPLY. VOID WHERE PROHIBITED.

Agreement to Official Rules. Participation in the “Take 5 Golden Giveaway Sweepstakes” (the “Sweepstakes”) constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor (as defined below), which are final and binding. The Sweepstakes is sponsored by Driven Brands Inc. d/b/a Take 5 Oil Change, 440 S Church St #700, Charlotte, NC 28202 (“Sponsor”).Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

Eligibility. The Sweepstakes is open to legal residents of the fifty (50) United States and the District of Columbia (excluding residents of MI and OH) who are at least eighteen (18) years old at the time of entry. Directors, officers, employees of Sponsor, and each of their respective parent companies, affiliate companies, subsidiaries, agents, advertising, prize fulfillment, marketing and promotion agencies and anyone else involved in the development or execution of the Sweepstakes, as well as their immediate family members (spouse, parents, siblings, and children and their respective spouses, regardless of where they live) and household members of each such director, officer, or employee, whether or not related, are not eligible to participate in the Sweepstakes. All federal, state and local laws, rules and regulations apply. Void where prohibited by law.

Sweepstakes Period. The Sweepstakes begins at 12:00:01 AM Eastern Time (“ET”) on September 1, 2023 and ends at 11:59:59 PM ET on September 30, 2023 (the “Sweepstakes Period”). Sponsor’s server and computer clock is the official time-keeping device for this Sweepstakes. Entries that are submitted before or after the Sweepstakes Period will be disqualified.

How to Enter. To obtain a free scratch-off game piece, while supplies last:

1. Visit participating Sponsor locations. During the Sweepstakes Period, visit any participating Sponsor location and request from Sponsor employee a free scratch-off game piece, Game piece availability will be limited. Approximately 2,000 game pieces will be available for distribution at each participating Sponsor location during the Sweepstakes Period. Maximum of one (1) game piece per eligible customer per visit.

Limit one (1) entry per person, per email address, and per household for the duration of the Sweepstakes Period, regardless of method of entry. Entries received from any person, e-mail address, or household in excess of the stated limitation will be void. All entries become the property of Sponsor and will not be acknowledged or returned.

How to Play. Carefully remove the scratch off surface on your game piece while in your vehicle in the bay at the Sponsor participating location to reveal your coupon offer or prize description printed beneath the scratch off surface. Each contestant shall be awarded the corresponding coupon offer or prize description as printed on their game piece, subject to verification and compliance with these Official Rules.

Important: Any game piece that has been damaged, destroyed, lost, mutilated, duplicated, fraudulent, forged, altered, copied, hand printed, water damaged, manipulated or tampered with in any way, or which are defective or that contain any computer programming, printing, production, mechanical, or typographical errors or errors in production, will be considered null and void and

will not be eligible for prize redemption. Contestants in possession of a defective or damaged game piece may only receive a replacement game piece in exchange for defective or damaged card, unless such damage is deemed to have been intentionally caused by contestant, in which case the game piece is void. Duplicated or copied game pieces are void. Any error, omission or defect in printing, production, programming or seeding that changes the odds of winning on any game piece, or the scheduled number of coupon offers or prizes to be awarded, will render all such game pieces void. No more than the scheduled number of coupon offers or prizes will be awarded for any reason. (see below).

Coupon Offers, Available Prize Awards and Odds of Winning. The total number of coupon offers or prize awards available, odds of receiving or winning and approximate retail value (“ARV”) of each is as follows:

Total ARV of all available prize awards: $4,000 per location. All prize awards are non-transferable and no cash redemption or prize substitution allowed, except at Sponsor’s sole discretion or as provided herein. Sponsor reserves the right to substitute a coupon offer or prize award (or portion thereof) for comparable or greater value, at its sole discretion. Winners are responsible for all federal, state and local taxes as well as any costs and expenses associated with the acceptance and use of any prizes not specified herein as being awarded or included as part of the prize. All prize details are at Sponsor’s sole discretion.

All validly redeemed coupon offers or claimed prizes will be awarded, subject to game piece approval and verification of eligibility and compliance with the terms of these official rules. Any unclaimed coupon offers or prize awards will not be awarded, and will remain property of Sponsor, and will not be re-awarded.

No more than the advertised maximum number of coupon offers or prize awards as listed above will be awarded for any reason. If due to printing, production, programming, seeding, typographical, human or other errors of any kind, the number of valid coupon offers or prize claims distributed or received at any level exceeds the number of coupon offers or prize awards advertised or intended to be distributed or awarded as stated herein, then Sponsor reserves the right to conduct and award the stated number of coupon offers or prize awards for such level in a random drawing from among all valid, non-suspect prize claims received for that coupon offer or prize award level. Any additional prize claims received after a prize has been exhausted for any particular prize level will be void.

How to Claim a Coupon Offer or Prize Award – Redeeming Your Game Piece. All game pieces must be redeemed as follows. Game pieces redeemable for coupon offers and prize award, on next visit, may be redeemed at the participating Sponsor location where the game piece was received. (Note: residents of MI and OH are permitted to visit any participating Sponsor location to redeem game piece.) All game pieces are subject to verification and approval by Sponsor manager. All valid game pieces must be redeemed in-store or game piece and coupon offer will be void. Maximum of one (1) redemption per person per visit, and offer may not be transferred or combined with any other offer or discount. Game piece has no cash value and may not be redeemed or exchanged for any other prize or offer. Certain other restrictions may apply.

Publicity. Unless it is otherwise prohibited by law, by accepting any coupon award or prize award, each winner expressly grants to Sponsor, and their respective designees, to use and publish his/her name, likeness, and photograph for advertising, promotional, publicity and other purposes in connection with this Sweepstakes (“Advertising”) in any manner, in any and all media, now known or hereinafter devised, worldwide, in perpetuity, without further payment or consideration, notification, or permission (unless prohibited by law). Each winner further agrees to execute any specific consent needed or requested by Sponsor or its designees in furtherance of such use. All copyright, trademark or other intellectual property rights in such advertising shall be owned by Sponsor and/or its licensors, and each winning participant hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each winner and guest hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of such winning recipient’s name, likeness or voice under contract, tort or any other theory of law.

General Conditions. In the event that the operation, security, or administration of the Sweepstakes is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Sweepstakes is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Sweepstakes to address the impairment and then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Sweepstakes and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of the Sweepstakes, including any attempt to submit a fraudulent or altered, tampered with or manipulated game piece, may be a crime subject to civil and criminal prosecution may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Sponsor reserves the right to prosecute any contestant submitting such game pieces to the fullest extent of the law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.

Release and Limitations of Liability. By participating in the Sweepstakes, entrants agree to release and hold harmless the Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Sweepstakes, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Sweepstakes, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Sweepstakes; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) any other errors or problems in connection with the Sweepstakes, including, without limitation, errors that may occur in the administration of the Sweepstakes, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, or in any Sweepstakes-related materials; or (e) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Sweepstakes or acceptance, receipt or misuse of any coupon offer or prize award (including any travel or activity related thereto).

Miscellaneous. The decisions of Sponsor are final with respect to all aspects of this Sweepstakes. The Sweepstakes and these Official Rules will be governed, construed, and interpreted under the laws of the State of North Carolina, without regard to choice of law principles. Except where prohibited, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for Western District of North Carolina or the appropriate North Carolina State Court located in Charlotte, North Carolina; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (c) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. For purposes of these Official Rules, (i) the words “include,” “includes” and “including” shall be deemed to be followed by the words “without limitation”; (ii) the word “or” is not exclusive; and (iii) the words “herein,” “hereof,” “hereby,” “hereto,” and “hereunder” refer to these Official Rules as a whole. In the event of any conflict with any Sweepstakes details contained in these Official Rules, and Sweepstakes details contained in any promotional materials (including, but not limited to, point of sale, television and print advertising, promotional packaging and other promotional media), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

Privacy Policy. By participating in the Sweepstakes, entrant authorizes the Sponsor to collect, use, process, transfer and store all data provided by entrant, including without limitation, personal data, in the United States, or any location(s) throughout the world that the Sponsor deems necessary, whether within entrant’s country of residence or elsewhere, and with such party(ies) as the Sponsor deems appropriate, for purposes of administration of the Sweepstakes. All information submitted to the Sponsor as part of this Sweepstakes will be treated in accordance with the Sponsors’ privacy statement, available at https://www.take5franchise.com/privacy-policy/. Sponsor will only use entrant’s personal information to: (a) provide information about the Sweepstakes; (b) contact and publicize potential winners; and/or (c) if an entrant selects to receive additional information from the Sponsor, to send additional information to that entrant during or after the Entry Period. Entrants to the Sweepstakes may be given the option to receive commercial e-mails from the Sponsor; however, eligibility to participate in the Sweepstakes is not dependent upon entrant’s consent to receive such e-mails. Entrants must fully complete and submit all non-optional data the Sponsor requests to be eligible. Entrants have the right to withdraw and correct their personal data, but entrants are not allowed to re-submit their entries for additional entries in the Sweepstakes.
